MotionTouch Software Licence Agreement MotionTouch Ltd. ("MotionTouch") grants you a licence to use the software being installed ("the Software") only upon condition that you accept all of the terms contained in this agreement. If you do not agree to the terms of this licence you should select the "Cancel" button to discontinue installation and promptly return the software for a full refund. 1. Licence A. Conditions Specific to the Type of Licence you have acquire You may install and use one copy of the Software on a single computer. You may not share the licence between different computers or use the Software on more than one computer at the same time. B. General Conditions Applying To All Licence Types - You may make a reasonable number of copies of the Software for backup and recovery purposes - You may not make any copies of the Software additional to those expressly permitted in this Licence Agreement. - You may not copy any written documentation accompanying the Software. - You may not remove or obscure any copyright or trademark notices relating to the Software. - You may not reverse engineer, decompile, disassemble or modify the Software except to the extent expressly permitted by any applicable local laws which may over-rule this restriction. - You may not distribute any portions of the Software to any third party except under the terms of a Developer Distribution Licence if you have acquired such a licence from MotionTouch. - You may not rent or lease the Software but you may transfer the Software and accompanying documentation on a permanent basis provided that I) you retain no copies of the Software, II) the recipient agrees to the terms of the Licence Agreement you are transferring and III) you notify MotionTouch of the transfer in writing. C. You may not install the software for use in the USA 2. Intellectual Property Rights The copyright, patents, trademarks and all other intellectual property rights in the Software and related documentation are owned by MotionTouch or its suppliers and are protected by national laws and international treaty provisions. You do not obtain any rights in the Software other than those expressly granted in this Licence Agreement. 3. Termination This Licence is effective until terminated. You may terminate it at any time by destroying the documentation and all copies of the Software. This licence will terminate automatically without notice if you fail to comply with any provision of this Licence. Upon termination you shall destroy the documentation and all copies of the Software. 4. Limited Warranty MotionTouch gives no warranty that the functions contained in the Software will meet your requirements or that the Software will operate entirely free of errors or that defects in the Software will be corrected. Furthermore, neither MotionTouch nor its suppliers warrant or make any representations regarding the use of the results of the use of the Software or related documentation in terms of their correctness, accuracy, reliability or otherwise. MotionTouch will have no responsibility to replace any medium damaged by accident, abuse or misapplication. The forgoing warranty is exclusive and lieu of all other warranties, whether express or implied, and MotionTouch expressly disclaims all other warranties including but not limited to warranties of quality, performance, merchantability or fitness for a particular purpose. There is a Support Pack Option available to purchase the terms of which are set out on the MotionTouch website. 5. Limitation of Liability To the maximum extent permitted by applicable law, MotionTouch shall not be liable for any indirect, special, tort, economic, incidental or consequential damages arising from your use, or inability to use, the Software including without limitation loss of business, revenue, production, profit, goodwill or failure to realize anticipated benefits, even if MotionTouch has been advised of the possibility of such loss or damage. In no event shall MotionTouch or its suppliersâ€™ total liability relating to your use or possession of the Software exceed the amount paid by you for the Software. This limitation of liability shall not apply to liability for personal injury or death to the extent applicable law prohibits such limitation. 6. Law If a court or other competent authority decides that any provision of this Agreement is void or otherwise ineffective in whole or in part then any other part and the other terms and conditions of this Agreement shall continue in full force and effect. This Agreement shall be governed by and construed in accordance with English Law. Any disputes or claims relating to this Agreement shall be subject to the exclusive jurisdiction of the English Courts. Please select this box to accept EULA
